Product Terms of Service
These Product Terms of Service ("Terms") govern your use of the Clientz accountancy software and services (the "Product") provided by Clientz Ltd ("Clientz", "we", "our" or "us"). By registering for, accessing, or using the Product, you agree to be bound by these Terms and our Privacy Notice.
Registration and Access
You will receive access to the Product after successful registration and setup by our team. Access may be delayed while we finalise system configuration.
Each paid user is considered an authorised user. The level of access and permissions is determined by the account holder or firm administrator. You are responsible for all use by authorised users under your account.
Pricing, Billing and Free Trial
Clientz offers a 30-day free trial for new customers. At the end of the trial, your subscription will automatically begin unless cancelled before the 30-day period ends.
Subscriptions are billed monthly. If cancelled by you, access continues until the end of the paid period. If we terminate your account due to a breach of these Terms, access will end immediately.
Subscription Management and Users
You may request to substitute users at any time by contacting support. If you increase the number of users, you will be charged accordingly. If users are removed, your subscription cost will be reduced on the next billing cycle.
Support and Maintenance
Support is available Monday to Friday, 9:00am – 5:00pm (UK time), excluding public holidays. Response times may vary while we finalise staffing and ticket processes.
We aim to perform updates and maintenance without interrupting access. However, some disruptions may occur. We aim for 99%+uptime.

Data Backups
We may engage reputable third-party providers to assist in backing up user data as part of our service continuity measures. While we take reasonable steps to protect your data, we do not guarantee that backups will prevent all forms of data loss, and you are encouraged to maintain your own backups if necessary.We maintain automated backups every 2 days, stored securely on Microsoft 365 (Excel via OneDrive) and automatically deleted after 10 days. Emails containing backup links are also automatically deleted after 10 days.
Termination
If a payment is missed, access to the Product may be paused. If the payment is not resolved within 30 days, your account and associated data may be deleted.
We may terminate access immediately if you breach these Terms. In such cases, no refunds will be issued.
Confidentiality
We treat all information you submit or store in the Product as confidential. We will not disclose such information to third parties except as required by law or to provide the service (e.g., hosting partners), and we take reasonable steps to protect it.
Limitation of Liability
To the fullest extent permitted by law, Clientz disclaims all liability for:

Loss of profits, revenue or business

Loss or corruption of data

Indirect, incidental or consequential damages

Downtime or interruptions in access
Our total liability to you for any claim shall not exceed the amount paid in the previous 12 months.
Force Majeure
We are not liable for failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, government restrictions, internet failures or labour disputes.
Changes to These Terms
We may update these Terms from time to time. Updates will be posted on our website with the revision date. Continued use of the Product means you accept the revised Terms.
Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising from them shall be subject to the exclusive jurisdiction of the English courts.
